IN NO EVENT SHALL VIA 313'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT YOU PAID TO VIA 313 IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The limitations in this section shall apply regardless of the theory of liability, whether based in contract, tort (including negligence), strict liability, or otherwise, even if Via 313 has been advised of the possibility of such damages.

11. Indemnification

You agree to defend, indemnify, and hold harmless Via 313 and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the dispute informally. You agree to provide Via 313 with written notice of any dispute at [email protected], and Via 313 will attempt to resolve the matter within thirty (30) days of receipt of such notice. If the dispute is not resolved within this period, either party may proceed with formal dispute resolution.

14.2 Binding Arbitration

EXCEPT FOR CLAIMS SEEKING INJUNCTIVE OR OTHER EQUITABLE RELIEF, ANY DISPUTE THAT CANNOT BE RESOLVED INFORMALLY SHALL BE RESOLVED BY BINDING ARBITRATION IN ACCORDANCE WITH THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION (AAA) IN EFFECT AT THE TIME THE ARBITRATION IS FILED.

The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. The arbitration shall take place in the United States, at a location mutually agreed upon by the parties or, if no agreement is reached, at a location determined by the arbitrator.

14.3 Class Action Waiver

YOU AND VIA 313 AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Via 313 agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

14.4 Exceptions to Arbitration

Notwithstanding the above, you agree that Via 313 may seek preliminary injunctive relief in any court to protect its intellectual property rights pending arbitration, and that claims for relief within the jurisdiction of small claims courts are not subject to mandatory arbitration under these Terms.

15. Term and Termination

These Terms are effective as of the date you first access or use the Services and shall remain in full force and effect for as long as you continue to access or use the Services, unless terminated earlier in accordance with these Terms.

Via 313 may, at its sole discretion and at any time, terminate or suspend your access to all or any part of the Services, with or without notice, for any reason, including but not limited to:

  • Your engagement in fraudulent, abusive, or illegal activity;
  • Requests by law enforcement or government agencies;
